In an environment of scrupulous confidentiality, Capital Benefits Group will conduct merger, acquisition and divestiture assignments. Specifically, our organization represents clients who wish to sell control of a company, divest a division or subsidiary, acquire a company, or transfer ownership to management. In addition, Capital Benefits Group represents management teams that wish to acquire their current business (MBO’s), or a similar business. For both buy-side and sell-side assignments, transaction sizes will be above $2 million.

Our Advisory Role:

The advisory tasks that we will typically perform include:

• Initial review of all documentation and financial and business plans;
• Assessment of strategic positioning and business performance;
• Advice on optimum financial structure of the business;
• Assistance with preparation of business plans and financial modelling;
• Assistance in the preparation of information memoranda for lenders/investors;
• Management of the capital and debt raising functions, including sourcing of and presentation to lenders/investors;
• Negotiation of terms and pricing for debt, equity, sale and acquisition situations;
• Assistance with legal, financial and contractual issues pertaining to the transaction;
• Assist in the selection, briefing and coordination of all parties to the transaction;
• Implementation of restructuring strategies;
